Except for the license expressly granted in 2.1, no right or license is granted to you, by implication, estoppel or otherwise. 2.3 Access to the Source Code is provided for your convenience and does not make the Software open source. No open-source license applies to the Software itself. 3. RESTRICTIONS You must not, and must not allow or help anyone else to: 3.1 sell, resell, rent, lease, lend, license, sublicense, distribute, publish, upload, share, give away, transfer or otherwise make available the Software, any copy of it, any part of it, or any Modification of it, to any third party, for money or for free, in any form or by any means (including websites, marketplaces, app stores, code repositories, file-sharing services, courses, templates, bundles and private groups); 3.2 create, sell, distribute, publish or offer any Derivative Work, including by renaming, rebranding, reskinning or re-theming the Software, changing its interface, wording or features, removing or replacing our names, or combining it with other software, and then offering the result as your own or anyone else's product, service, app, tool, template, plugin or script; 3.3 use the Software, its Source Code, its structure, its prompts or templates, or any knowledge gained from studying them, to design, build, train, improve or market any product or service that competes with the Software or that performs substantially similar functions, whether for sale or for free; 3.4 copy or reuse any part of the Source Code, prompts, templates, rules or documentation in any other software, product or service, except your own Modifications used under 2.1; 3.5 offer the Software, or any output or function of it, as a service to others, including running it on behalf of clients, customers or other businesses (agency, consulting, "done-for-you", white-label, managed, hosted, software-as-a-service or similar use). Each business the Software is run for needs its own license; 3.6 use the Software, its Source Code, its prompts or templates, or its documentation as training data, input or reference material for any artificial-intelligence or machine-learning model or system, other than the local models the Software itself runs on your computer for its normal operation; 3.7 remove, alter or obscure any copyright notice, trademark, license notice, this Agreement or THIRD_PARTY_NOTICES.txt; 3.8 share, sell or transfer your license, your purchase, your download link or your copy to anyone else; 3.9 use the Software for spam, harassment, deception, impersonation, fraud, or any unlawful purpose, or in breach of the terms of any platform or service it connects to; or 3.10 use our names, trademarks, product names or logos, or any confusingly similar name or mark, for any product or service other than to truthfully say you use the Software. 4. Every Modification remains subject to this Agreement, may only be used together with your licensed copy, and may not be distributed in any form under Section 3. If you send us ideas, suggestions or fixes, we may use them freely without any obligation to you. 4.3 Your Content. You own Your Content. We do not receive it, and we claim no rights in it. You are solely responsible for Your Content and for having every right needed to use it, including music, video, images, names, trademarks and contact information. 5. THIRD-PARTY SOFTWARE, SERVICES AND MODELS 5.1 On first run the Software downloads and installs third-party programs, libraries and AI models (listed in THIRD_PARTY_NOTICES.txt) from their official sources. They are not part of the Software, are not licensed to you by us, and are governed solely by their own licenses, which you must follow. 5.2 The Software works with your own accounts on third-party services (email providers, YouTube, Instagram, Facebook, TikTok, X, Threads, Bluesky, Mastodon, Tumblr, Twitch, search engines and others). You are solely responsible for complying with each service's terms, policies, rate limits and developer rules, and for any developer applications you create. Services may change or stop working with the Software at any time, and that is not a defect of the Software. 5.3 Automatic downloading of Twitch streams is turned off until you turn it on. Downloading streams may violate Twitch's terms of service. Turning it on is your decision and your responsibility. 6. It terminates automatically, without notice, if you breach any of its terms. 8.2 On termination you must stop using the Software and destroy every copy of it and of every Modification in your possession or control. 8.3 Sections 1, 2.2, 2.3, 3, 4, 8.2, 8.3, 9, 10, 11, 12 and 13 survive termination. 9. ENFORCEMENT 9.1 Any use, copying, modification or distribution of the Software outside the license in Section 2 is a material breach of this Agreement and an infringement of our copyright, and may also misappropriate our trade secrets. 9.2 You agree that a breach of Section 3 would cause us irreparable harm for which money damages would not be an adequate remedy. In addition to any other remedy available at law or in equity, we are entitled to seek immediate injunctive relief, without posting a bond, to stop or prevent any such breach. 9.3 We may have any infringing copy, listing, repository or Derivative Work removed, including through takedown notices under the US Digital Millennium Copyright Act and the rules of any marketplace or host. 9.4 You will pay any money, revenue or other benefit you receive from a breach of Section 3 to us, in addition to any damages, and you will reimburse our reasonable attorneys' fees and costs of enforcing this Agreement if we prevail. 9.5 Our failure or delay in enforcing any part of this Agreement is not a waiver of it. 10. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON- INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, WORK WITH ANY THIRD-PARTY SERVICE, OR BE ERROR-FREE OR UNINTERRUPTED, AND WE MAKE NO PROMISE OF ANY RESULT, INCLUDING COVERAGE, REPLIES, FOLLOWERS, VIEWS, SALES, GRANTS, AWARDS OR INCOME. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU. 11. LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, ACCOUNTS, GOODWILL OR OPPORTUNITIES, OR FOR ANY SUSPENSION OR BAN OF ANY ACCOUNT, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU. 12. INDEMNIFICATION You will defend, indemnify and hold harmless us and our owners, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, anything sent, posted or published using your copy of the Software, your Modifications, your violation of any law or third-party terms, or your breach of this Agreement. 13. GENERAL 13.1 Governing law and venue. This Agreement is governed by the laws of the State of Texas, USA, and applicable US federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Texas have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and you consent to their personal jurisdiction, except that we may seek injunctive relief under Section 9 in any court. 13.2 Export. Nothing in this Agreement limits any right you have under consumer-protection law that cannot be waived by contract. 13.6 Entire agreement. This Agreement is the entire agreement between you and us about the Software and supersedes all prior understandings. It may only be changed in a writing signed by us, or by a new version included with an update, which applies to that update. 13.7 Contact. Mad Tea Party Development.
